Terms of Service

1. Acceptance of these Terms

These Terms of Service (“Terms”) are a binding agreement between you and Coya (“Coya,” “we,” “us,” or “our”). By creating an account, accessing, or using the Coya mobile application and related services (collectively, the “Service”), you agree to these Terms and our Privacy Policy.

If you do not agree, do not use the Service. If you use Coya on behalf of an organization, you represent that you are authorized to bind that organization, and “you” includes that organization.

2. Eligibility and accounts

You must be legally capable of entering this agreement and meet the minimum digital-consent age required where you live. The Service is not directed to children under 13. If local law requires parental or guardian consent for a minor to use the Service, that consent must be obtained before use.

You agree to provide accurate account information, keep your credentials confidential, and promptly notify us of suspected unauthorized access. You are responsible for activity under your account except to the extent caused by our failure to use reasonable security measures. You may not sell, transfer, or share access to your account in a way that undermines account security.

3. What Coya provides

Coya is a coffee-focused creative and community experience. Depending on the version and region, the Service may allow you to:

• discover coffee and latte-art posts, recipes, calibration details, showcases, and challenges;
• create a profile and publish photos, captions, prompts, and coffee-related content;
• follow and interact with other users through reactions, comments, saves, shares, and direct messages;
• use Coya’s AI Studio to generate coffee-themed visual content from prompts, style selections, and optional reference images; and
• obtain and use virtual Credits for eligible in-app creative actions.

Specific features may change over time and may not be available to every user, device, or location.

4. User content and permissions

Your ownership

You retain your rights in content you submit, upload, generate, send, or publish through the Service, including photos, messages, prompts, captions, recipes, calibration information, comments, and AI outputs (“User Content”), subject to any rights held by others and these Terms.

License needed to operate Coya

You grant Coya a worldwide, non-exclusive, royalty-free license to host, store, reproduce, process, adapt solely for technical formatting, display, and transmit your User Content only as needed to operate, secure, improve, and provide the Service. This license is limited by your privacy choices and ends when the content is deleted from our active systems, except for reasonable backup, legal, security, or dispute-resolution retention.

For content you publish publicly, the license includes making that content available to other users through feeds, profiles, search, challenges, and sharing features. For direct messages, use is limited to delivering, storing, securing, and supporting the conversation and responding to valid reports.

Your responsibilities

You represent that you have the rights and permissions needed for your User Content and that its use in Coya will not violate law, privacy, publicity, copyright, trademark, or other rights. Do not upload confidential information you are not authorized to disclose.

We may remove or restrict content that violates these Terms or applicable law. We do not endorse User Content and are not responsible for statements made by users.

5. Community, challenges, and messaging

Community interactions must remain lawful, respectful, and relevant. Public activity may be visible to other users, and recipients may retain or share content you send them. Use care when sharing personal information in posts or messages.

Challenges, showcases, rankings, or featured placements are creative community features unless separate rules expressly state otherwise. Participation does not guarantee selection, visibility, compensation, or any commercial opportunity. We may moderate entries and remove manipulation, infringement, or abusive conduct.

If you report content or an account, we may review the information reasonably necessary to assess the report, protect users, and enforce these Terms.

6. AI Studio and generated content

You may provide text prompts, aesthetic choices, and optional reference images (“AI Inputs”) to request generated content (“AI Outputs”). We process only the data reasonably necessary to perform the request, maintain safety and reliability, calculate applicable Credit usage, and provide the result. We do not collect information unrelated to those purposes.

You must have the right to use every AI Input. Do not use AI Studio to imitate, exploit, or infringe another person’s identity, private life, artwork, brand, or other rights. AI Outputs may be similar to outputs generated for others, may contain errors, and may not be unique or suitable for professional reliance. You are responsible for reviewing an output before publishing or using it.

As between you and Coya, and to the extent permitted by law, you may use your AI Outputs subject to these Terms and third-party rights. Coya does not guarantee that an AI Output is eligible for copyright or other exclusive protection in every jurisdiction. Your AI Inputs and private AI Outputs are not used to train our models unless we first provide a clear choice and obtain any consent required by law.

7. Purchases, subscriptions, and virtual Credits

Coya may offer one-time in-app purchases, recurring subscriptions, or virtual Credits. The price, included benefits, billing period, and any renewal terms are shown before you confirm a purchase. Purchases are processed through the app marketplace associated with your device, and its payment, cancellation, and refund rules also apply.

Subscriptions

If you purchase a subscription, it renews automatically for the disclosed period unless you cancel through your marketplace account before renewal. Deleting Coya or your Coya account does not by itself cancel an active marketplace subscription. Access continues for the paid period unless the marketplace or applicable law provides otherwise.

Credits

Credits are limited, revocable, non-transferable digital units usable only for eligible features within Coya. Credits are not money, property, stored value, cryptocurrency, or redeemable for cash. They may not be sold, transferred, or exchanged outside Coya. Credit amounts and the cost of an eligible action are displayed in the Service and may change prospectively. We will not reduce Credits already acquired solely because a future price changes.

Credits are consumed when the requested eligible action begins or completes, as disclosed in the interface. If a chargeable action fails because of a verified technical error attributable to Coya, we may restore the affected Credits. Unless a different term is clearly disclosed at acquisition, purchased Credits do not expire while your account remains active. Promotional Credits may carry separately disclosed limits.

Except where required by law or marketplace policy, completed purchases and used Credits are non-refundable. We may correct balances affected by fraud, chargebacks, duplicate grants, or technical error after reasonable review.

8. Prohibited conduct

You may not use the Service to:

• violate law or infringe intellectual property, privacy, publicity, confidentiality, or other rights;
• harass, threaten, exploit, deceive, impersonate, or target another person;
• publish unlawful, sexually exploitative, hateful, or seriously harmful content;
• send spam, scams, unauthorized promotions, malicious links, or repetitive unwanted messages;
• upload malware or interfere with the security, availability, or normal operation of the Service;
• scrape, harvest, or collect user information without authorization;
• bypass access controls, reverse engineer protected portions of the Service, or probe for vulnerabilities except where law expressly permits;
• manipulate engagement, challenge participation, recommendations, purchases, or Credit balances;
• use automated means to access Coya without our written permission; or
• use AI features to create deceptive impersonations, unlawful material, or content that violates another person’s rights.

9. Coya intellectual property

The Service—including its software, design, interface, brand elements, AI models, model weights, training methods, compilations, and Coya-created content—is owned by or licensed to Coya and protected by applicable laws. Except for the limited license in our User License Agreement, no rights are transferred to you.

If you send suggestions or feedback, you permit us to use them without restriction or compensation, provided we do not identify you publicly without permission.

10. Privacy and data use

Our Privacy Policy explains what data we process and your choices. In summary, Coya processes only information reasonably necessary to provide, secure, and support its features. We do not sell, rent, or trade personal information, and we do not share it with unrelated third parties. We use reasonable administrative, technical, and organizational measures to protect photos, content, messages, and personal data.

11. Service changes and availability

We may update, add, limit, suspend, or discontinue features to maintain security, comply with law, improve Coya, or address technical and business needs. We do not promise that every feature or item of User Content will always remain available. You should keep copies of content that is important to you.

We may impose reasonable usage or technical limits to protect users and system reliability. Planned or emergency maintenance may temporarily interrupt access.

12. Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” COYA DISCLAIMS IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND QUIET ENJOYMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR THAT USER CONTENT OR AI OUTPUTS WILL BE ACCURATE, UNIQUE, OR SUITABLE FOR A PARTICULAR PURPOSE.

Coffee recipes, calibration details, and community advice are informational and user-contributed. Results vary by equipment, ingredients, technique, and conditions. Use appropriate care around hot liquids, steam, electrical equipment, and food allergens.

Nothing in these Terms excludes warranties or rights that cannot lawfully be excluded.

13. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, COYA WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, GOODWILL, OR OPPORTUNITY, ARISING FROM OR RELATED TO THE SERVICE.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, COYA’S TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO COYA THROUGH THE SERVICE DURING THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM OR (B) US$100.

These limits do not apply to liability that cannot be limited by law. Some jurisdictions do not allow certain exclusions, so portions of this section may not apply to you.

Indemnity

To the extent permitted by law, you agree to defend, indemnify, and hold Coya harmless from third-party claims arising from your unlawful use of the Service, your User Content, or your material breach of these Terms. This obligation does not apply to the extent a claim results from Coya’s own conduct.

14. Suspension and termination

You may stop using Coya at any time and may request account deletion through available account controls or by contacting us. We may restrict, suspend, or terminate access if we reasonably believe you materially violated these Terms, created risk or harm, engaged in fraud, or if action is required by law. Where appropriate, we will provide notice and an opportunity to appeal.

Upon termination, your license to use the Service ends. Provisions that by their nature should survive—including ownership, payment obligations, disclaimers, liability limits, and dispute terms—remain effective. Account deletion does not automatically cancel subscriptions managed by your app marketplace.

15. Changes, governing rules, and disputes

We may revise these Terms. If a change materially affects your rights, we will provide reasonable notice in the Service or through available contact information. The updated Terms take effect on the stated date. Continued use after that date means you accept the revised Terms, except where additional consent is required by law.

These Terms are governed by the laws applicable where Coya’s operator is established, without regard to conflict-of-law principles and without depriving you of mandatory consumer protections in your place of residence. Any dispute must be brought in a court with lawful jurisdiction, unless applicable law requires or permits another process.

If any provision is unenforceable, it will be limited to the minimum extent necessary and the remaining provisions will continue. Our failure to enforce a provision is not a waiver. These Terms, the Privacy Policy, the User License Agreement, and any purchase-specific terms presented to you form the agreement regarding the Service.
